Expansion Playbooks Terms of Service

These Terms of Service ("Terms") govern your use of Expansion Playbooks, the web application available at app.expansionplaybooks.com and related sites and services (the "Service"), operated by Northside Ventures LLC, doing business as Expansion Playbooks ("Expansion Playbooks," "we," "us"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

If you use the Service on behalf of an employer or other organization, you represent that you have authority to accept these Terms for that organization, and "you" includes that organization.

1. The Service

Expansion Playbooks is a professional tool for customer success, sales, and other customer-facing professionals. It helps you build customer results maps, playbooks, and career materials, using a combination of your own inputs, our methodology, and AI-generated drafts.

The Service is a judgment and expertise tool. It is not a system of record, not a CRM, and not a source of professional advice (see Section 7).

2. Accounts

• You must provide accurate account information and keep it current.
• You are responsible for safeguarding your login credentials and for all activity under your account.
• Accounts are for individual named users. Do not share credentials or allow others to use your account.
• You must be at least 18 years old and legally able to enter into these Terms.
• Notify us promptly at jeff@expansionplaybooks.com if you suspect unauthorized use of your account.

3. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
• Enter information into the Service that you are not authorized to use or disclose, including information protected by a confidentiality obligation you owe to your employer or customers, unless that use is permitted.
• Upload malicious code, attempt to probe, scan, or breach the Service's security, or interfere with its operation.
• Attempt to access other users' accounts or data.
• Scrape, crawl, or bulk-extract the Service or its content, or use automated means to access the Service except through features we provide.
• Reverse engineer, copy, resell, sublicense, or create derivative works of the Service or the Expansion Playbooks methodology, except as expressly permitted.
• Use the Service to build a competing product, or use our methodology, prompts, frameworks, or content to train a competing system.
• Use the web-page fetching features to retrieve pages you do not have the right to access or use.

We may suspend or terminate accounts that violate this section.

4. Your content and ownership

You own your content. All information, text, files, and other materials you enter into the Service, and the artifacts you create with it (maps, playbooks, career materials, exports), are yours ("User Content").

Our license to your content. You grant us a limited, non-exclusive, worldwide license to host, store, process, transmit, display, and back up your User Content solely to operate, maintain, secure, and improve the Service, and as otherwise described in our Privacy Policy. This license ends when your User Content is deleted, except for residual copies in routine backups, which are purged on a rolling basis.

Your responsibilities. You are solely responsible for your User Content, including having the rights to enter it and for how you use artifacts you export. If you enter information about your employer or your customers, you are responsible for complying with any obligations you owe them.

Our IP. The Service, including its software, design, methodology, frameworks, templates, prompts, course content, and documentation, is owned by Expansion Playbooks and its licensors and is protected by intellectual property laws. Except for the limited right to use the Service under these Terms, no rights in the Service or our methodology are granted to you. Artifacts you export may embed elements of our templates and methodology; you may use those artifacts for your own professional purposes, but you may not resell our methodology or repackage it as your own product or training material.

Feedback. If you send us suggestions, ideas, or feedback about the Service, we may use them without restriction or obligation to you.

5. AI features

The Service uses artificial intelligence, including models provided by Anthropic, to generate drafts from your inputs. You understand and agree that:

• Inputs you provide may be sent to our AI provider to generate outputs, as described in our Privacy Policy.
• AI outputs are drafts. They may be inaccurate, incomplete, or unsuitable for your situation. You are responsible for reviewing, editing, and validating all AI-generated content before relying on it or sharing it with others.
• The Service is designed so that you apply your own judgment. Outputs do not represent statements of fact by Expansion Playbooks.
• You may not use AI features to generate unlawful, infringing, or deceptive content.

6. Fees, subscriptions, and credits

Subscriptions. Paid access to the Service is sold as a subscription, billed in advance through Stripe. Prices, plan features, and billing periods are shown at purchase. Taxes may apply.

Payments. Payments are processed by Stripe. We never store your card numbers.

Credits. Plans may include a monthly allowance of usage credits for AI-powered features. Credit allowances reset at the start of each billing month and do not roll over. Unused credits expire at the end of the month and have no cash value. We may adjust credit costs per feature with notice.

Cancellation. You may cancel at any time from your billing settings or by emailing jeff@expansionplaybooks.com. Cancellation takes effect at the end of the current billing period. Except where required by law, fees already paid are non-refundable.

Changes to pricing. We may change prices or plan structures. Changes apply at your next renewal, with advance notice.

Beta. During the beta period, separate Beta Terms apply, including free access via a 100%-off coupon. See the Beta Terms addendum.

7. No professional advice

The Service provides tools, methodology, and AI-generated drafts for professional work. It does not provide legal, financial, accounting, employment, or other professional advice. Nothing in the Service is a guarantee of business results, revenue outcomes, or career outcomes. You are responsible for decisions you make using the Service.

8. Third-party services

The Service depends on third-party providers (hosting, database, payments, AI, email, and web fetching), listed in our Privacy Policy. We are not responsible for third-party services we do not control, and your use of third-party features (for example, pointing the Service at a public web page) must comply with those third parties' terms.

9. Warranty disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI OUTPUTS WILL BE ACCURATE OR RELIABLE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR LOSS OF GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
• OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE FEES YOU ACTUALLY PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. IF YOU HAVE PAID NO FEES (FOR EXAMPLE, DURING A FREE BETA), OUR TOTAL LIABILITY WILL NOT EXCEED ONE HUNDRED US DOLLARS ($100).

These limitations do not apply to liability that cannot be limited by law.

11. Indemnification

You will defend and indemnify Expansion Playbooks against third-party claims arising from your User Content, your violation of these Terms, or your violation of the rights of a third party (including confidentiality obligations you owe your employer or customers).

12. Suspension and termination

• You may stop using the Service and delete your account at any time (email jeff@expansionplaybooks.com to request deletion).
• We may suspend or terminate your access if you materially breach these Terms, if required by law, or if continued provision would create security or legal risk. Where practical, we will give notice and a chance to cure.
• On termination, your right to use the Service ends. You can export your artifacts through the product's export features before termination; after account deletion, your data is deleted as described in the Privacy Policy.
• Sections that by their nature should survive (including Sections 4, 7, 9, 10, 11, and 14) survive termination.

13. Changes to the Service and these Terms

We are actively developing the Service; features may change over time. We may update these Terms. For material changes, we will give notice (for example, by email or in-app) at least 14 days before they take effect. Continued use after the effective date constitutes acceptance. If you do not agree, cancel before the changes take effect.

14. General

• Governing law. These Terms are governed by the laws of the State of Utah, without regard to conflict-of-law rules. Courts located in Utah have exclusive jurisdiction, and both parties consent to venue there.
• Entire agreement. These Terms, the Privacy Policy, and any applicable addenda (including the Beta Terms) are the entire agreement between you and us about the Service.
• Severability; waiver. If a provision is unenforceable, the rest remains in effect. Failure to enforce a provision is not a waiver.
• Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
• Notices. We may notify you by email to your account address or in the app. You can reach us at jeff@expansionplaybooks.com.
